The statement of work had been through three internal reviews. A senior engagement manager read it. A practice lead read it. A partner looked at it for twenty minutes before a client dinner and said it looked good. All three reviews happened under time pressure, by people who had been part of drafting the document, and who were broadly satisfied that it said what it needed to say.
What none of them caught — because none of them were looking with a different frame of reference — was that the out-of-scope section described what the consulting team would not do in terms of methodology, but said nothing about deliverable types. The client was going to reasonably expect interim reports, working session facilitations, and a steering committee presentation as standard deliverables. The contract didn’t mention them. The team hadn’t priced them. They weren’t in scope.
Six weeks into the engagement, the client asked for the first steering committee deck. The engagement manager said that wasn’t in the SOW. The client quoted back the SOW and explained, not unreasonably, that it had never been explicitly excluded. A difficult conversation followed. Scope reconciliation took two weeks. The relationship survived, but the account lost margin it couldn’t get back.
This story isn’t unusual. Every consulting firm has a version of it. The document looked complete because everyone who reviewed it was also close to it. The error was structural, not individual.
What independent review looks like for a consulting SOW

Round one came back NEEDS_FIX with six findings. The most consequential:

Critical:
- Out-of-scope section specifies methodology exclusions (e.g. "implementation
is out of scope") but does not list excluded deliverable types. Client
may interpret steering committee presentations, interim reports, and
working session facilitation as standard deliverables. List explicitly
what deliverable types are not included, or add language clarifying that
deliverables are limited to the named artefacts in Section 4.
- Section 4 (Deliverables) lists "transformation roadmap" and "prioritised
initiative register" without defining format or page length. Both terms
are ambiguous in scope. Define each deliverable with format (slide deck,
Word document, spreadsheet), approximate length, and what it does and
does not contain.
High priority:
- No termination-for-convenience clause. Fixed-price engagement without
exit provisions creates risk if the client's internal sponsor changes
during the 12-week window.
- Change control process is referenced ("changes to scope will be handled
via change order process") but the process is not defined. Define
minimum: who can initiate, who approves, what constitutes material scope
change, turnaround time.
- No provision for client-side resource commitments. The engagement depends
on access to 4 senior client stakeholders for structured interviews. If
access is delayed, the timeline is at risk but the contract has no remedy.
Add a client obligations section.
- IP ownership for client data incorporated into artefacts is unaddressed.
Standard clause for data infrastructure workstreams.
That’s a structured, specific critique from a reviewer who has no investment in the engagement landing. The out-of-scope finding — the one that would have caused the steering committee problem — was finding number one, flagged as critical.
Why three rounds instead of one
After round one, the team revised the document to address all six findings. Round two reviewed the revision and returned NEEDS_FIX again, with three remaining issues — the deliverable format definitions were still ambiguous, and the change control process was described but not operationalised (it said who approves changes but not what turnaround time the client could expect).
Round three passed at 0.88 confidence. Two of three validators issued PASS. The third issued PASS with a note — “client obligations section uses passive voice throughout; suggest rewriting as direct obligations with named accountabilities.” That note was a stylistic improvement, not a blocking issue, but it improved the document.
The full negotiation took eleven minutes. Three rounds, six validators (two per round), specific actionable feedback on each finding. The document that emerged was meaningfully more complete than the three-human-review version.
The instinct this formalises
Good consulting partners develop pattern recognition for this over years. They know which clauses get argued about at mid-engagement scope reviews. They know the language clients read as commitments vs the language the firm reads as methodology descriptions. They know which deliverable ambiguities cause problems.
That pattern recognition is hard to transfer. Junior consultants don’t have it yet. Senior consultants are often reviewing under time pressure. And the document’s author is always the worst reviewer of their own document — not because they’re careless but because they read what they intended to write, not what they wrote.
The validator ensemble doesn’t have a stake in the engagement. It isn’t tired. It isn’t close to the client relationship. It reads the document as written and asks: “If I were a client who had not been part of the drafting conversations, what would I expect this language to mean?”
That’s the question that catches scope ambiguity. That’s the question internal review under time pressure doesn’t consistently ask.
